Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On August 8, 2016, the Board of Directors (the "Board") of Helius Medical Technologies, Inc. (the "Company") elected Thomas E. Griffin to the Board. Mr. Griffin was also appointed as the Chairman to Audit Committee.
Mr. Griffin has not participated in any transactions with the Company, nor are there currently any proposed transactions, requiring disclosure pursuant to Item 404(a) of Regulation S-K.
As a member of the Board, Mr. Griffin will be eligible to receive non-employee director compensation consistent with that provided to other non-employee directors: 100,000 stock options (75,000 as a Board Member and 25,000 as a member of the Audit Committee). The options will vest as follows: 25% upon date of issuance, 25% at one year anniversary of issuance date and 50% at year 2 anniversary of issuance date. The strike price will be set at the close of the market on the date of issuance.

On August 8, 2016, the Company issued a press release announcing the information discussed in this Item 5.02. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Helius Medical Technologies Appoints Thomas Griffin to Board of Directors and Chairman of the Audit Committee.
Newtown, PA – August 8, 2016 – Helius Medical Technologies, Inc. (TSX: HSM, OTCQB: HSDT) ("Helius" or the "Company") a company focused on the treatment of neurological symptoms caused by disease or trauma, announced today that Thomas Griffin will join the Board of Directors, effective immediately. Mr. Griffin will also serve as Chairman of the Audit Committee.
Tom is currently Vice President of Finance for Entellus Medical, Inc. (NASDAQ:ENTL), a medical technology company focused on delivering superior patient and physician experiences through products designed for the minimally invasive treatment of chronic and recurrent sinusitis in both adult and pediatric patients. Prior to his current role, Tom served as Chief Financial Officer from December 2007 to May 2016, and as acting chief financial officer, as a consultant, from July 2006 to December 2007. Tom has been a key contributor to Entellus from its first round of financing in August 2006 through its successful Initial Public Offering (“IPO”) in January 2015. Entellus raised approximately $92 million through five private rounds of financing, borrowed $20 million on a $25 million credit facility and received proceeds of approximately $90 million in proceeds from its IPO.
